These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you”, “your”) and Telo AI, Inc. (“Telo”, “Company”, “we”, “us”, or “our”) governing your access to and use of our website located at https://mytelo.ai (the “Site”), our educational AI robots, associated software, teacher dashboards, therapeutic tools, and all related services, features, and content (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree with these Terms, you must not use the Services.
Eligibility
You must be at least 18 years old to access or use the Services. If you are using the Services on behalf of an educational institution, therapy provider, or another legal entity, you represent that you have authority to bind that entity and that you have obtained all necessary consents under applicable law, including the Children’s Online Privacy Protection Act (COPPA), the Family Educational Rights and Privacy Act (FERPA), and the Health Insurance Portability and Accountability Act (HIPAA), for the use of the Services by minors or clients under your supervision.
Use of Services
Subject to these Terms, Telo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for educational, therapeutic, and non-commercial purposes only.
You agree not to:
(a) Reverse engineer, decompile, or disassemble any part of the Services;
(b) Use the Services for surveillance, monitoring, or harmful purposes;
(c) Interfere with the operation of any AI-based educational or therapeutic functionality or robotics hardware;
(d) Attempt to extract or reuse datasets generated by the Services;
(e) Use the Services to create a competing product or service.
User Accounts and Access
Some Services require registration. You are responsible for safeguarding your account credentials. If you believe your account has been accessed without authorization, you must notify us immediately.
Intellectual Property
All content, software, models, and materials available through the Services, including any AI-generated lesson plans, educational or therapeutic feedback, and analytics reports, are owned by Telo or its licensors and are protected under applicable intellectual property laws. No rights or licenses are granted except as expressly set forth herein.
User content submitted through the Services remains your property. By submitting content, you grant Telo a worldwide, royalty-free, sublicensable license to use such content solely for providing and improving the Services.
Educational and Therapeutic Use – Legal Disclaimers
Telo’s Services are designed to support, not replace, the professional judgment of educators and licensed clinicians. We do not provide clinical diagnoses, and outputs from the AI system should not be construed as medical or psychological advice.
The use of the Services in K-12 or clinical environments must comply with applicable law, including COPPA, FERPA, and HIPAA. Schools, therapy providers, and institutions are responsible for securing all necessary authorizations, including parental consent or authorization under HIPAA, prior to allowing a child or client to interact with the Services.
Telo may enter into Business Associate Agreements (BAAs) with HIPAA-covered entities and Data Processing Agreements (DPAs) with educational institutions upon request.
Privacy and Data Protection
Your use of the Services is also governed by our Privacy Policy, which details how we collect, use, and safeguard personal and sensitive information, including Protected Health Information (PHI) and educational records.
Termination
Telo may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or for operational, legal, or security reasons. Upon termination, your rights to use the Services will immediately cease.
Disclaimers and Limitation of Liability
THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL TELO OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY THEREOF. TELO’S TOTAL LIABILITY SHALL NOT EXCEED FIFTY DOLLARS (US $50).
Indemnification
You agree to indemnify, defend, and hold harmless Telo and its officers, directors, employees, contractors, and agents from any claims, losses, damages, liabilities, and expenses (including attorneys’ fees) arising out of your use or misuse of the Services, your violation of these Terms, or your violation of any applicable law.
Arbitration and Governing Law
These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration administered by JAMS in accordance with its rules, in Miami, Florida. You waive your right to a jury trial and to participate in class actions.
Modifications
Telo reserves the right to modify these Terms at any time. We will provide notice of material changes via email or by posting on our Site. Continued use of the Services after such changes constitutes your acceptance of the new Terms.
